1. Applicable to LLC (Limited Liability Company)

Clients incorporated during the year 2025

In January 2026, it will be necessary to renew the Registered Agent service and pay the corresponding state fee (the value varies by State). The Registered Agent charge for the first year will be proportional to the date of incorporation. Example: If XYZ LLC is incorporated on March 15, 2025, in January 2026 you will be billed only for the months elapsed until that date: March 2025 – January 2026 = 10 months Calculation: 399 × (10/12) = 332.50

From the second year onward, the annual maintenance charge will be the full current value.

Notifications and payment deadlines

Clients will receive an email at the beginning of the year with details of the amount and due date for annual maintenance. Additionally, a weekly reminder will be sent while there is a pending payment balance. If payment has not been made by February 15, a late processing fee of 300 USD may be applied.

2. Applicable to LP (Limited Partnership)

Incorporated clients

Clients will receive an email notification two (2) months before the company's incorporation anniversary date, informing the amount and due date for annual maintenance. Example: If ABC LP is incorporated on June 20, 2025, you will receive the first notification on April 20, 2026. A weekly email notification will be sent regarding the maintenance payment.

Deadlines and late payment fees

If payment has not been made by two (2) weeks before the company's anniversary date, a late processing fee of 300 USD may be applied.

3. General Considerations

All amounts mentioned are expressed in USD. Deadlines and fees may be subject to changes in accordance with current legislation or adjustments to State Services (State Fee) and Registered Agent rates. It is the client's responsibility to keep their contact information up to date to receive notifications in a timely manner.
